Welcome to WS Leads Pro (app.webshepherd.co), operated by WebShepherd, LLC (“Company,” “we,” “our,” or “us”). These Terms govern your use of our software and related services (the “Services”).

By creating an account or using WS Leads Pro, you agree to these Terms.

1. Eligibility

You must be 18 or older.

You must have authority to bind your business (if applicable).

2. Accounts

You are responsible for your login credentials and account activity.

You must provide accurate information.

We may suspend or terminate accounts engaged in abuse, spam, or unlawful activity.

3. Acceptable Use

You may not use the Services to:

Violate laws including TCPA, CAN-SPAM, GDPR, CCPA, HIPAA.

Send spam, robocalls, or unauthorized bulk SMS/email.

Collect or process data without consent.

Infringe intellectual property rights.

Upload viruses, malware, or disruptive code.

4. Messaging Compliance (SMS/Email)

You are solely responsible for obtaining consent from recipients.

All campaigns must include sender identification, opt-out instructions, and “Msg & Data Rates May Apply.”

You agree to maintain opt-in/opt-out logs and provide them upon request.

Violations may result in immediate suspension or termination.

5. Subscriptions, Fees & Refunds

Fees are billed per the plan you selected.

Subscriptions auto-renew unless canceled.

All payments are non-refundable except where required by law.

6. Intellectual Property

WS Leads Pro and all content remain property of WebShepherd, LLC.

You receive a non-exclusive, non-transferable license to use the platform.

7. Termination

We may suspend/terminate your access for any violation of these Terms.

You may cancel at any time, but no refunds are given.

8. Disclaimers

Services are provided “as is.” We do not guarantee uninterrupted or error-free operation.

We do not guarantee deliverability of SMS/email through carriers or third parties.

9. Limitation of Liability

To the fullest extent permitted by law, our liability is limited to the fees paid by you in the past 12 months.

We are not liable for lost profits, data loss, or indirect damages.

10. Indemnification

You agree to defend, indemnify, and hold WebShepherd, LLC harmless from claims, fines, or damages arising from:

Your misuse of the Services.

Your violation of messaging regulations (TCPA, CAN-SPAM, GDPR, etc.).

Your breach of these Terms.

11. Dispute Resolution

Any dispute will be resolved through binding arbitration in Williamson County, Tennessee.

You waive rights to class actions or jury trials.

2. Governing Law

These Terms are governed by Tennessee law and U.S. federal law.

13. Changes

We may update these Terms. Continued use constitutes acceptance.
